Terms of Service
Terms governing access to and use of IP System Solutions (IPSS).

These Terms of Service apply when you access or use the IPSS website, an IPSS account, or a company workspace. By using IPSS, you agree to these Terms. This is an interim operational version and will be reviewed by legal counsel as the service develops.
Service access and accounts
You must provide accurate account information, keep credentials confidential, and use IPSS only through an account and company workspace you are authorized to access. Company owners and administrators are responsible for managing users, permissions, invitations, and temporary support access for their company.
Customer responsibilities
You are responsible for your account activity, your users, the instructions you submit, and your review of outputs before relying on or publishing them. You must have the rights and permissions needed for content, files, images, company data, and personal information you provide. AI and automated outputs may be incomplete or inaccurate and require appropriate human review.
Acceptable use
You may not use IPSS to violate law, infringe rights, harm others, distribute malware, bypass access controls, probe or disrupt the service, gain unauthorized access, misrepresent identity or authority, or process content you are not permitted to use. You may not use IPSS outputs as a substitute for professional legal, financial, medical, or other regulated advice.
Customer content
You retain your rights in content you provide. You permit IPSS and its service providers to host, process, transmit, and display that content as needed to operate, secure, support, and improve the service and to fulfill your requests. You remain responsible for your content and for maintaining appropriate copies of important records.
IPSS intellectual property
IPSS and its underlying software, designs, workflows, documentation, names, and service materials are protected by intellectual-property laws. Except for the limited right to use the service under these Terms, no IPSS rights are transferred to you.
Third-party services and AI providers
Some features depend on third-party services such as hosting, email, payment processing, and AI providers. Their services may be governed by separate terms and policies. IPSS is not responsible for third-party services outside its control.
Customers must bring their own OpenAI API account and API key to use OpenAI-backed features. OpenAI API usage is billed separately by OpenAI and is not included in IPSS subscription fees. The company is responsible for its provider account, limits, charges, and compliance with the provider's terms. Your website is independent of IPSS. IPSS is not a website builder or website-hosting platform; website building, hosting, and editing are not included in the core subscription. Any future IPSS-managed website assistance would be a separately agreed service.
Paid subscriptions
When paid billing is enabled, plan prices, setup fees, billing timing, included users, and any applicable taxes will be shown before purchase. By completing a purchase, you authorize the displayed charges. Unless a different term is clearly shown, subscription cancellation takes effect at the end of the current paid billing period. Access can continue through that period, subject to these Terms. Cancellation does not itself promise a refund.
Service availability and changes
We aim to provide a dependable service, but IPSS may be unavailable from time to time for maintenance, security, provider outages, or other operational reasons. We may modify, add, limit, or discontinue features when reasonably necessary. We will seek to avoid materially disrupting active customer use without notice when practical.
Disclaimers and limits
IPSS is provided on an “as available” basis. To the extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted service or that AI-generated or other outputs will be accurate, complete, or suitable for a particular purpose.
To the extent permitted by law, IPSS will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities arising from use of the service. Nothing in these Terms excludes liability that cannot legally be excluded or limited.
Suspension and termination
We may suspend or terminate access when reasonably necessary to protect users or the service, address nonpayment when billing is enabled, respond to unlawful or abusive use, or enforce these Terms. You may stop using IPSS at any time and may request account closure, subject to applicable billing terms and reasonable legal, security, and recordkeeping requirements.
Changes to these Terms
We may update these Terms as IPSS changes. The Last Updated date will identify the current version. Continued use after updated Terms take effect constitutes acceptance where permitted by law.
